GrabScene — Events Ticket Marketplace Platform

1. INTRODUCTION AND ACCEPTANCE OF TERMS
1.1. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GrabScene ("Company," "Platform," "we," "us," or "our"), governing your access to and use of the GrabScene website, mobile application, and all related services (collectively, the "Platform").
1.2. GrabScene operates as an online marketplace that connects event organizers ("Organizers") with ticket buyers ("Buyers"). GrabScene facilitates the discovery, listing, promotion, and sale of tickets for events including, but not limited to, concerts, music festivals, conferences, workshops, sports events, exhibitions, theatre performances, and all other categories of live or virtual events.
1.3. By creating an account, accessing, browsing, or using the Platform in any manner, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms, our Privacy Policy, and any additional policies or guidelines referenced herein. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform and delete your account.
1.4. Your continued use of the Platform following any modifications to these Terms shall constitute your acceptance of such modifications. It is your sole responsibility to review these Terms periodically.
2. DEFINITIONS
For the purposes of these Terms, the following definitions shall apply:
2.1. "Account" means the registered user profile created by a User on the Platform, which is required to access any services offered by GrabScene.
2.2. "Buyer" means any registered User who purchases, attempts to purchase, or reserves tickets for events listed on the Platform.
2.3. "Event" means any live, virtual, or hybrid gathering, performance, conference, workshop, sporting competition, exhibition, or similar occurrence listed on the Platform by an Organizer.
2.4. "Organizer" means any individual, entity, company, or organisation that lists, promotes, manages, or sells tickets for an Event through the Platform.
2.5. "Ticket" means a digital or physical pass, confirmation, QR code, barcode, or similar instrument issued through the Platform that grants the holder admission to a specific Event.
2.6. "Service Fee" means the booking fee, inclusive of applicable Goods and Services Tax (GST) and payment processor fees, charged by GrabScene to the Buyer at the time of ticket purchase.
2.7. "Content" means all text, images, graphics, logos, audio, video, data, event listings, reviews, ratings, comments, and any other materials uploaded, posted, or transmitted through the Platform.
2.8. "Prohibited Conduct" means any activity expressly forbidden under Section 11 of these Terms.
3. ELIGIBILITY AND ACCOUNT REGISTRATION
3.1. Age Requirements
3.1.1. You must be at least thirteen (13) years of age to create an account and use the Platform.
3.1.2. If you are between thirteen (13) and eighteen (18) years of age, you may only use the Platform with the express, verifiable consent of a parent or legal guardian. By permitting a minor to use the Platform, the parent or legal guardian agrees to be bound by these Terms on the minor's behalf and assumes full responsibility for the minor's activities, transactions, and compliance with these Terms.
3.1.3. GrabScene reserves the right to request proof of age or parental consent at any time. Failure to provide satisfactory proof within the timeframe specified by GrabScene shall result in immediate suspension or termination of the Account.
3.1.4. Notwithstanding the above, certain Events may impose their own age restrictions as determined by the Organizer. It is the sole responsibility of the Buyer to verify and comply with any such Event-specific age requirements before purchasing a Ticket.
3.2. Account Creation and Security
3.2.1. A registered Account is mandatory to purchase tickets, list events, or access any transactional features of the Platform. Guest checkout is not available.
3.2.2. You agree to provide accurate, current, and complete information during the registration process and to update such information promptly to keep it accurate, current, and complete at all times.
3.2.3. You are solely responsible for maintaining the confidentiality of your Account credentials, including your password. You agree to immediately notify GrabScene at support@grabscene.com of any unauthorised access to or use of your Account.
3.2.4. You may not create more than one (1) Account per individual. You may not create an Account using another person's identity or information without their explicit authorisation. You may not share, sell, lease, or transfer your Account to any third party.
3.2.5. GrabScene shall not be liable for any loss, damage, or expense arising from your failure to maintain the security of your Account credentials. All activities conducted through your Account shall be deemed to have been authorised by you, regardless of whether you actually authorised such activities.
4. PLATFORM ROLE AND MARKETPLACE DISCLAIMER
4.1. GrabScene operates solely as an intermediary marketplace platform that facilitates transactions between Organizers and Buyers. GrabScene is not an event organizer, promoter, venue operator, or ticket seller and does not own, manage, produce, or control any Events listed on the Platform.
4.2. GrabScene does not guarantee, endorse, warrant, or assume any responsibility for the accuracy, completeness, reliability, quality, safety, legality, or suitability of any Event, Event listing, Organizer, venue, performer, speaker, or any other aspect of any Event listed on the Platform.
4.3. The contractual relationship for ticket purchases exists directly and exclusively between the Buyer and the Organizer. GrabScene is not a party to this contract and shall bear no liability or obligation arising from or in connection with such contract.
4.4. GrabScene does not verify, validate, or authenticate the credentials, identity, reputation, financial standing, or legitimacy of Organizers beyond the information voluntarily provided during account registration. Any User who lists an Event on the Platform as an Organizer does so without GrabScene conducting formal Know Your Customer (KYC) verification or background checks. Users acknowledge and accept this risk.
4.5. GrabScene does not guarantee that any Event will take place as scheduled, that any performer or speaker will appear, that the venue will be as described, or that the Event will meet the Buyer's expectations in any regard.
5. TICKET PURCHASES AND PRICING
5.1. Pricing Structure
5.1.1. All ticket prices displayed on the Platform are set exclusively by the Organizer and are quoted in Indian Rupees (INR) unless otherwise specified.
5.1.2. In addition to the ticket face value, Buyers shall be charged a Service Fee at the time of purchase. The Service Fee includes: (a) a booking/platform fee charged by GrabScene; (b) applicable Goods and Services Tax (GST) as mandated under Indian tax law; and (c) payment processor transaction fees. The total Service Fee shall be clearly displayed to the Buyer before the transaction is confirmed.
5.1.3. All prices and fees are inclusive of applicable taxes unless explicitly stated otherwise. GrabScene reserves the right to modify its Service Fee structure at any time, with such changes applying only to transactions initiated after the modification takes effect.
5.1.4. GrabScene shall not be liable for any pricing errors by Organizers. In the event of a manifest pricing error, GrabScene reserves the right to cancel the affected transactions and issue a full refund.
5.2. Purchase Process
5.2.1. By clicking "Purchase," "Buy Now," "Confirm," or any similar confirmation button, the Buyer makes a binding offer to purchase the selected Ticket(s) at the displayed price plus applicable Service Fee.
5.2.2. A purchase is deemed complete only upon: (a) successful processing of payment through the Platform; and (b) issuance of a confirmation email or in-app notification with a unique booking reference or Ticket.
5.2.3. GrabScene reserves the right to cancel or refuse any transaction at its sole discretion, including but not limited to cases involving suspected fraud, pricing errors, technical malfunctions, or violations of these Terms.
5.3. Purchase Limits
5.3.1. The maximum number of Tickets a single User may purchase per Event is determined solely by the Organizer and shall be displayed on the Event listing page.
5.3.2. Any attempt to circumvent purchase limits — including but not limited to the use of multiple Accounts, automated tools, bots, or third-party purchasing agents — shall constitute a violation of these Terms and may result in cancellation of all associated orders without refund and immediate termination of the User's Account.
6. PAYMENT TERMS
6.1. The Platform accepts payments via credit cards, debit cards, UPI (Unified Payments Interface), net banking, PayPal, Stripe, Razorpay, and such other payment methods as may be made available from time to time.
6.2. All payment processing is handled by third-party payment processors. GrabScene does not directly store your full credit card numbers, debit card numbers, or bank account details on its servers. However, GrabScene may store limited payment-related information (such as transaction IDs, partial card numbers, and billing addresses) as required for record-keeping, customer support, and fraud prevention.
6.3. You agree that you are solely responsible for any charges, fees, or penalties imposed by your bank, card issuer, or payment provider in connection with your use of the Platform, including but not limited to currency conversion fees, insufficient funds fees, or international transaction charges.
6.4. GrabScene shall not be liable for any payment failures, delays, or errors caused by third-party payment processors, your bank, your internet service provider, or any circumstances beyond GrabScene's reasonable control.
6.5. All completed transactions are final and shall be subject to the refund and cancellation policies outlined in Section 7 of these Terms.
7. REFUNDS, CANCELLATIONS, AND EVENT CHANGES
7.1. Organizer-Determined Refund Policy
7.1.1. Each Organizer sets its own refund and cancellation policy for the Events it lists on the Platform. The applicable refund policy shall be clearly displayed on the Event listing page at the time of purchase.
7.1.2. It is the Buyer's sole responsibility to review and understand the Organizer's refund and cancellation policy before completing a purchase. By completing a purchase, the Buyer acknowledges and agrees to be bound by the applicable Organizer refund policy.
7.1.3. GrabScene does not independently set, control, override, or guarantee any Organizer's refund policy. Refund requests must be directed to and resolved with the Organizer in accordance with their stated policy.
7.2. Event Cancellation by Organizer
7.2.1. In the event that an Organizer cancels an Event entirely, the Organizer is solely responsible for processing refunds to Buyers in accordance with their stated refund policy and applicable Indian consumer protection laws.
7.2.2. GrabScene shall make reasonable efforts to notify affected Buyers of any Event cancellation communicated to us by the Organizer. However, GrabScene assumes no liability for late, incomplete, or failed notifications.
7.2.3. GrabScene is not liable for any refund arising from an Organizer's cancellation. GrabScene's Service Fee may or may not be refundable at GrabScene's sole discretion on a case-by-case basis.
7.3. Event Postponement or Venue Change
7.3.1. If an Event is postponed to a new date or relocated to a different venue, all previously purchased Tickets shall remain valid for the rescheduled Event at the new date and/or venue.
7.3.2. GrabScene shall not be liable for any inconvenience, travel costs, accommodation expenses, loss of enjoyment, or any other direct, indirect, or consequential damages arising from an Event postponement or venue change.
7.3.3. The Organizer may, at its sole discretion, offer additional accommodations or refunds in connection with postponed or relocated Events. Any such accommodations are between the Buyer and the Organizer exclusively.
7.4. Non-Refundable Circumstances
7.4.1. Unless otherwise specified in the applicable Organizer refund policy, no refunds shall be issued for: (a) failure to attend the Event; (b) dissatisfaction with the Event, performers, speakers, or venue; (c) removal or ejection from the Event premises for any reason; (d) force majeure events as defined in Section 16; (e) change of personal plans by the Buyer; or (f) any reason not explicitly covered by the Organizer's refund policy.
8. TICKET RESTRICTIONS
8.1. Non-Transferability
8.1.1. All Tickets purchased through the Platform are strictly non-transferable. Tickets are issued in the name of the registered Account holder who completed the purchase and are valid only for use by that individual.
8.1.2. The sale, resale, gifting, assignment, transfer, or distribution of Tickets to any third party by any means — whether for profit or otherwise — is expressly prohibited.
8.1.3. Any Ticket found to have been transferred, resold, or used by a person other than the original purchaser shall be deemed void and invalid. The bearer of such Ticket may be denied entry to the Event without refund.
8.1.4. GrabScene reserves the right to cancel any Ticket and terminate the Account of any User found to be in violation of this non-transferability clause, without refund and without prior notice.
8.2. Ticket Validity
8.2.1. Each Ticket is valid only for the specific Event, date, time, and seat (if applicable) indicated on the Ticket at the time of purchase.
8.2.2. Duplicate Tickets, altered Tickets, counterfeit Tickets, or screenshots of Tickets (where QR code or barcode authentication is required) may be deemed invalid at the sole discretion of the Organizer or venue.
9. EVENT ORGANIZER OBLIGATIONS AND TERMS
9.1. Organizers may list Events on the Platform by creating an Account and submitting event details through the Platform's event creation tools. GrabScene does not require formal KYC or identity verification for Organizers; however, GrabScene reserves the right to introduce such requirements at any time.
9.2. By listing an Event, the Organizer represents and warrants that: (a) they have the legal right and authority to organise, promote, and sell tickets for the Event; (b) all information provided in the Event listing is accurate, complete, and not misleading; (c) the Event complies with all applicable local, state, and national laws, regulations, and licensing requirements; and (d) they have obtained all necessary permits, licences, and permissions required for the Event.
9.3. The Organizer is solely responsible for the Event, including but not limited to: event execution, venue arrangements, performer/speaker coordination, attendee safety, crowd management, compliance with fire and safety codes, and all other operational aspects.
9.4. The Organizer agrees to honour all Tickets validly purchased through the Platform and to admit Ticket holders in accordance with the terms of their purchase.
9.5. The Organizer shall clearly and prominently display their refund and cancellation policy on the Event listing page. Failure to do so may result in GrabScene applying a default refund policy at its discretion.
9.6. GrabScene reserves the right to remove, suspend, or modify any Event listing at any time and for any reason, including but not limited to suspected fraud, misleading information, legal non-compliance, or violation of these Terms.
10. INTELLECTUAL PROPERTY RIGHTS
10.1. All intellectual property rights in and to the Platform — including but not limited to the GrabScene name, logo, trademarks, service marks, trade dress, domain names, software, source code, algorithms, database structures, user interface designs, graphics, icons, and all other proprietary materials — are and shall remain the exclusive property of GrabScene.
10.2. All Content uploaded, posted, or transmitted through the Platform by Users (including but not limited to event listings, descriptions, images, reviews, ratings, and comments) shall become the property of GrabScene upon submission. By submitting Content, Users irrevocably assign to GrabScene all right, title, and interest in such Content worldwide, including all intellectual property rights therein.
10.3. GrabScene grants Users a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended purposes and in compliance with these Terms. This licence does not include the right to: (a) modify, copy, distribute, transmit, display, perform, reproduce, publish, or create derivative works from the Platform or any Content; (b) reverse engineer, decompile, or disassemble any aspect of the Platform; or (c) use the Platform or Content for any commercial purpose not expressly authorised by GrabScene.
10.4. No part of the Platform or its Content may be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any purpose without the express prior written consent of GrabScene.
11. PROHIBITED CONDUCT
11.1. You agree not to engage in, attempt to engage in, or facilitate any of the following prohibited activities:
11.1.1. Fraud and Misrepresentation: Creating fake accounts, submitting false information, purchasing tickets using stolen payment credentials, generating counterfeit or duplicate tickets, impersonating another person or entity, or engaging in any form of deceptive practice.
11.1.2. Automated Access and Bots: Using bots, scripts, spiders, crawlers, scrapers, automated software, or any non-human means to access the Platform, purchase tickets, extract data, or interact with the Platform in any way — unless expressly authorised in writing by GrabScene.
11.1.3. Unauthorised Scraping and Data Harvesting: Scraping, crawling, indexing, mining, or extracting any data, content, or information from the Platform by any automated or manual means without the prior written permission of GrabScene.
11.1.4. Ticket Scalping and Resale: Reselling, transferring, auctioning, or distributing Tickets purchased through the Platform, whether for profit or otherwise, in violation of Section 8.
11.1.5. Circumvention of Controls: Bypassing, disabling, or interfering with any security, authentication, access control, rate-limiting, purchase-limiting, or anti-fraud mechanisms implemented on the Platform.
11.1.6. Harmful Activities: Uploading, transmitting, or distributing any virus, malware, worm, trojan, ransomware, spyware, adware, or any other malicious code or technology designed to disrupt, damage, or gain unauthorised access to the Platform or any connected systems.
11.1.7. Abusive Content: Posting or transmitting content that is defamatory, obscene, threatening, harassing, discriminatory, hateful, infringing, or otherwise objectionable or unlawful.
11.1.8. Interference with Platform Operations: Taking any action that imposes or may impose an unreasonable or disproportionately large load on the Platform's infrastructure, or that disrupts or interferes with the proper functioning of the Platform.
11.1.9. Legal Violations: Using the Platform for any purpose that violates any applicable local, state, national, or international law, regulation, or ordinance.
11.2. Enforcement Actions
11.2.1. GrabScene reserves the right, at its sole discretion, to investigate any suspected violation of these Terms and to take appropriate enforcement action, including but not limited to:
- Warning: Issuing a formal written warning for minor or first-time violations.
- Temporary Suspension: Suspending the User's Account and access to the Platform pending investigation for moderate violations or repeat offences.
- Permanent Ban: Permanently terminating the User's Account and revoking all access to the Platform for severe violations, including but not limited to fraud, bot usage, and repeated violations after prior warnings.
11.2.2. The severity of the enforcement action shall be determined by GrabScene at its sole discretion based on the nature, severity, and frequency of the violation.
11.2.3. Cancellation of tickets and forfeiture of payments associated with prohibited conduct may occur without refund.
11.2.4. GrabScene reserves the right to report any suspected illegal activity to the relevant law enforcement authorities and to cooperate fully with any resulting investigation.
12. DATA COLLECTION, PRIVACY, AND COOKIES
12.1. Data Collection
12.1.1. GrabScene collects and processes personal data necessary for the operation of the Platform, including but not limited to: (a) account registration data (name, email address, phone number, date of birth); (b) location data (IP address, GPS coordinates where permitted); (c) transaction and payment-related data; (d) device and browser information; (e) usage data and browsing patterns; and (f) any other information voluntarily provided by the User.
12.1.2. GrabScene's collection, use, storage, and disclosure of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy.
12.2. Cookies and Tracking Technologies
12.2.1. GrabScene uses cookies, web beacons, pixels, local storage, and similar tracking technologies to: (a) enable core Platform functionality; (b) remember User preferences and settings; (c) analyse usage patterns and Platform performance; (d) deliver personalised content and recommendations; (e) serve targeted advertisements; and (f) detect and prevent fraud.
12.2.2. By using the Platform, you consent to the placement and use of cookies and tracking technologies as described herein and in our Cookie Policy.
12.2.3. You may manage or disable cookies through your browser settings; however, doing so may impair or limit the functionality of the Platform.
12.3. Data Sharing
12.3.1. GrabScene may share User data with Organizers to the extent necessary for Event fulfilment, ticket validation, and attendee management.
12.3.2. GrabScene may share User data with third-party service providers, payment processors, analytics providers, and advertising partners in accordance with our Privacy Policy.
12.3.3. GrabScene may disclose User data when required by law, regulation, legal process, or governmental request, or when GrabScene believes in good faith that disclosure is necessary to protect the rights, property, or safety of GrabScene, its Users, or the public.
12.4. Compliance with Indian Data Protection Laws
12.4.1. GrabScene shall process personal data in compliance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, the Digital Personal Data Protection Act, 2023 (as applicable), and any amendments, successor legislation, or regulations thereunder.
13. LIMITATION OF LIABILITY
13.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRABSCENE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUBSIDIARIES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, goodwill, or business opportunities;
- Cost of procurement of substitute goods or services;
- Personal injury or property damage arising from Events;
- Any conduct or content of any third party, Organizer, or other User;
- Unauthorised access to or alteration of your transmissions or data;
- Any matter relating to the Platform, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.
13.2. LIABILITY CAP: In no event shall GrabScene's total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Platform exceed the total amount of the ticket price paid by you for the specific transaction giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise.
13.3. GrabScene is not liable for any loss, damage, or inconvenience arising from: (a) platform downtime, whether scheduled or unscheduled; (b) software bugs, errors, or technical malfunctions; (c) data loss or corruption; (d) interruptions in service; (e) actions of third-party service providers or payment processors; or (f) any events or circumstances beyond GrabScene's reasonable control.
13.4. GrabScene is not liable for any acts, omissions, failures, negligence, fraud, or misconduct of any Organizer, including but not limited to: (a) cancellation, postponement, or material alteration of an Event; (b) failure to deliver the Event as advertised; (c) unsafe or inadequate venue conditions; (d) injury, loss, or damage suffered at an Event; or (e) failure to issue refunds.
13.5. The limitations set forth in this Section shall apply even if GrabScene has been advised of the possibility of such damages and even if any limited remedy provided herein is found to have failed its essential purpose.
14. INDEMNIFICATION
14.1. You agree to defend, indemnify, and hold harmless GrabScene, its directors, officers, employees, agents, affiliates, subsidiaries, licensors, and service providers from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorney's fees, legal costs, and court fees) arising out of or in connection with:
14.1.1. Your use of or access to the Platform;
14.1.2. Your violation or breach of any provision of these Terms;
14.1.3. Your violation of any applicable law, regulation, or third-party right (including intellectual property rights, privacy rights, or contractual rights);
14.1.4. Any Content you upload, post, transmit, or make available through the Platform;
14.1.5. Any dispute between you and an Organizer or another User;
14.1.6. Any fraudulent, negligent, or wrongful act or omission by you;
14.1.7. Your failure to comply with any Event-specific rules, terms, or requirements imposed by an Organizer.
14.2. GrabScene reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with GrabScene's defence of any such claim.
14.3. This indemnification obligation shall survive the termination or expiration of these Terms and your Account.
15. DISPUTE RESOLUTION AND ARBITRATION
15.1. Governing Law
15.1.1. These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.
15.2. Mandatory Binding Arbitration
15.2.1. Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or your use thereof — including disputes regarding the existence, validity, interpretation, performance, breach, or termination of these Terms — shall be resolved exclusively through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended from time to time).
15.2.2. The seat and venue of arbitration shall be Bengaluru, Karnataka, India.
15.2.3. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties. If the parties fail to agree on the appointment of an arbitrator within thirty (30) days of a written demand for arbitration, the arbitrator shall be appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
15.2.4. The language of arbitration shall be English.
15.2.5. The arbitrator's award shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction.
15.2.6. Each party shall bear its own costs and expenses in connection with the arbitration, unless the arbitrator determines otherwise.
15.3. Class Action Waiver
15.3.1. YOU AND GRABSCENE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.
15.3.2. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.
15.3.3. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision (Section 15) shall be null and void, and all disputes shall be resolved exclusively by the courts at Bengaluru, Karnataka, India.
15.4. Exception for Injunctive Relief
15.4.1. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
16. FORCE MAJEURE
16.1. GrabScene shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond GrabScene's reasonable control, including but not limited to: natural disasters (earthquakes, floods, hurricanes, tsunamis), epidemics, pandemics, acts of war, terrorism, civil unrest, riots, government actions or orders, sanctions, embargoes, strikes, labour disputes, power failures, internet or telecommunications outages, cyberattacks, server failures, or any other event constituting force majeure under Indian law.
16.2. During any force majeure event, GrabScene's obligations under these Terms shall be suspended for the duration of the event. GrabScene shall make reasonable efforts to notify Users of any such event and its expected duration.
17. THIRD-PARTY SERVICES AND LINKS
17.1. The Platform may contain links to, integrations with, or features powered by third-party websites, applications, and services, including but not limited to maps, social media login providers, payment gateways, analytics tools, and advertising networks.
17.2. GrabScene does not own, control, operate, endorse, or assume any responsibility for any third-party websites, services, or content. Your interaction with any third-party service is governed solely by that third party's own terms and policies.
17.3. GRABSCENE EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM OR IN CONNECTION WITH YOUR USE OF ANY THIRD-PARTY SERVICES, INCLUDING BUT NOT LIMITED TO DATA BREACHES, SERVICE OUTAGES, INACCURACIES, OR ANY OTHER ISSUES ORIGINATING FROM THIRD-PARTY PROVIDERS.
17.4. The inclusion of any third-party link or integration on the Platform does not imply endorsement, affiliation, or sponsorship by GrabScene.
18. ACCOUNT TERMINATION AND SUSPENSION
18.1. Termination by GrabScene
18.1.1. GrabScene reserves the right to suspend or terminate your Account, with or without cause, at its sole discretion, upon providing reasonable prior written notice (via email to your registered email address). The notice period shall be a minimum of fifteen (15) days, except in cases involving: (a) suspected fraud or illegal activity; (b) imminent threat to the Platform's security or integrity; or (c) court orders or legal requirements mandating immediate action — in which cases suspension or termination may be effective immediately and without prior notice.
18.1.2. Upon termination, your right to access and use the Platform shall immediately cease. GrabScene shall not be liable for any loss of data, Content, transaction history, or any other information associated with your Account following termination.
18.2. Termination by User
18.2.1. You may request deletion of your Account at any time by contacting GrabScene at support@grabscene.com. Account deletion shall be processed within a reasonable timeframe, subject to the completion of any pending transactions and compliance with applicable data retention requirements under Indian law.
18.2.2. Termination of your Account does not release you from any outstanding payment obligations, pending disputes, or other liabilities incurred prior to termination.
18.3. Survival
18.3.1. The following Sections shall survive termination or expiration of these Terms and your Account: Sections 10 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), and any other provisions that by their nature are intended to survive termination.
19. DISCLAIMERS AND WARRANTIES
19.1. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. GrabScene expressly disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment.
19.2. GrabScene does not warrant that: (a) the Platform will be available at all times or operate without interruption, errors, or defects; (b) any defects will be corrected within any specific timeframe; (c) the Platform is free of viruses, malware, or other harmful components; (d) the information or Content on the Platform is accurate, reliable, or current; or (e) the results obtained from using the Platform will meet your expectations.
19.3. No advice or information, whether oral or written, obtained from GrabScene or through the Platform shall create any warranty not expressly stated herein.
20. MODIFICATIONS TO TERMS
20.1. GrabScene reserves the right to modify, amend, or replace these Terms at any time and at its sole discretion.
20.2. When material changes are made, GrabScene shall notify Users via email to the registered email address on their Account. The modified Terms shall become effective upon the date specified in the notification or, if no date is specified, upon the date of sending the notification.
20.3. Your continued use of the Platform following any modification constitutes your binding acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue all use of the Platform and delete your Account.
20.4. It is your responsibility to ensure that your registered email address is current and accessible. GrabScene shall not be liable for your failure to receive notifications due to outdated or inaccessible email addresses, email filtering, or spam filtering.
21. COMMUNICATIONS AND NOTIFICATIONS
21.1. By creating an Account, you consent to receive electronic communications from GrabScene, including but not limited to: transactional emails (booking confirmations, receipts, cancellation notices), service announcements, policy updates, promotional offers, and newsletters.
21.2. You may opt out of promotional communications at any time by using the unsubscribe link in the email or by contacting support@grabscene.com. However, you may not opt out of transactional or service-related communications that are essential to the operation of your Account.

22. SEVERABILITY
22.1. If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
22.2. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms.
23. ENTIRE AGREEMENT
23.1. These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or guidelines expressly incorporated by reference, constitute the entire agreement between you and GrabScene with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral, regarding the same subject matter.
23.2. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorised representative of GrabScene. A failure or delay by GrabScene in exercising any right or remedy under these Terms shall not operate as a waiver of such right or remedy.
24. ASSIGNMENT
24.1. GrabScene may assign, transfer, delegate, or sublicense its rights and obligations under these Terms to any third party, affiliate, or successor entity without your consent and without prior notice.
24.2. You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of GrabScene. Any purported assignment in violation of this Section shall be null and void.

26. ACKNOWLEDGEMENT
